Rules and Regulations

The Off Hollywood Movie Contests (the "Contests") give website users the opportunity to participate in the making of an independent film scheduled to continue production in and around Hollywood, California from December 2009 to May 2010. Winners will travel to Los Angeles to collaborate with the filmmakers in the production of the movie on specified dates. Off Hollywood, LLC ("Sponsor") reserves the right to modify the production schedule and Contests schedule as it deems necessary.

You can enter to participate in these three ways:

  • to ACT in a specified scene
  • to CO-DIRECT the movie for a specified day
  • to PROVIDE ORIGINAL MUSIC for a specified scene or scenes in the movie

Site users visiting www.offhollywoodmovie.com ("Website") will have a chance to audition for a selection of roles/performances offered on the Website's casting pages by uploading their self-produced videos, audios and/or photos that will then be rated by fellow users. The entry receiving the highest average rating (based on a minimum of 100 ratings) in its Contest during the designated rating period wins.

An entry ("Entry") is defined as a video, audio or photo submitted with a complete and valid official entry form found on the Website. An entrant ("Entrant") is defined as the individual submitting the Entry and identified as such on the official entry form.

Visit the Website for information regarding the entry periods and deadlines for the Contests, and for a description of the prizes for the Contests.

Eligible Entrants (see eligibility requirements below) must submit materials that meet the entry requirements described below for video, audio, or photo Entry. Visit www.offhollywoodmovie.com to complete the official entry form. All Entries and entry forms become the property of the Sponsor and may be used in whole or in part by the Sponsor at its sole discretion.

Winners will travel to Los Angeles at the expense of the production including airfare (if applicable), ground transportation, accommodations and per diem. Expenses shall be reasonable and customary as determined by the Sponsor. Winners will participate on the actual movie set in the production elements related to their Contest, working with the film's director and professional staff and resources.

THE WINNERS' WORK/PERFORMANCE WILL BE INCLUDED IN THE DIRECTOR'S CUT VERSION OF THE FILM AND/OR IN THE FINAL CUT VERSION OF THE FILM. ENTRANT UNDERSTANDS, ACKNOWLEDGES AND AGREES THAT THE USE OF ANY WORK/PERFORMANCE IS AT THE SOLE DISCRETION OF THE FILM'S DIRECTOR AND THAT SPONSOR IS NOT REQUIRED TO USE ANY WORK/PERFORMANCE IN THE FINAL CUT OF THE FILM. ENTRANT UNDERSTANDS, ACKNOWLEDGES AND AGREES THAT THIS IS AN INDEPENDENT FILM PRODUCTION AND A WORK IN PROGRESS AND THAT SPONSOR MAKES NO GUARANTEE THAT THE FILM WILL BE COMPLETED AND/OR DISTRIBUTED.

ENTERING THE CONTESTS

To enter the contests, eligible individuals may submit an Entry for consideration in one of the following categories:

ON CAMERA MOVIE ROLE — Entrant will submit an audition video using lines/audition materials posted on the Website by the producers; or a still photo for non-speaking roles as described on the Website.

DIRECTING ROLE — Entrant will post a video explaining why he/she is the best choice to direct this material.

ORIGINAL MUSIC PLACEMENT — Entrant will post his/her original work to be rated by site users.

Each Entry must be submitted with a completed entry form available at the Website. The individual identified on the official entry form as the Entrant will be considered the Entrant. An Entry must be submitted by an individual only; group submissions are not permitted. All entry forms and Entries become the property of the Sponsor and will not be returned or acknowledged. Keep a copy of your entry form and submitted material for your records. Entries must be received by the Sponsor during the Contest period as described on the Website. For the purposes of the Contests, the Sponsor "receives" an Entry when the Sponsor's servers record the Entry. Proof of sending does not constitute proof of actual receipt by the Sponsor. Sponsor's database clock will be the official timekeeper for the Contests. Void where prohibited.

All Entries received during the Contest period that are complete, meet the requirements as stated herein, and otherwise meet the eligibility requirements set forth in these official rules will be judged and/or rated by fellow visitors to the Website. Entries or any other material documents that are forged, altered, incomplete, or generated by a macro, bot, or other automated means will not be accepted and will be void.

An Entry must not contain information or content that is false, fraudulent, deceptive, misleading, defamatory, threatening, trade libelous, slanderous, libelous, disparaging, unlawfully harassing, profane, pornographic, hateful, indecent, or injurious to any individual, Sponsor or any third party.

An Entry must not contain harmful or illegal activity or violate federal, state or local law or regulation in any way.

Any Entry deemed by the Sponsor at its sole discretion to be in violation of the rules may be removed from the Website without notification, and will be deemed ineligible. Sponsor is not responsible or liable for any such Entry or its content.

NO SUBMISSIONS WILL BE RETURNED OR ACKNOWLEDGED, AND MAY IN FACT BE DESTROYED. DO NOT SUBMIT ANY IRREPLACEABLE OR ONE-OF-A-KIND VIDEOS, AUDIOS, OR PHOTOS. ANY SUBMISSION (OR PORTION HEREOF) THAT DOES NOT CONFORM TO THE REQUIREMENTS IN THESE OFFICIAL RULES WILL BE DEEMED INELIGIBLE.

Entries must meet the following requirements at the Sponsor's sole discretion:

All aspects of the Entry must be originally created by and solely owned by Entrant. All third party content and content not original to Entrant (including, but not limited to, music and artwork) is prohibited. The Entry must not infringe, misappropriate or violate any rights of any third party including copyright, trademark, trade secret or right of privacy or publicity.

The Entry must be in English.

The Entry must be unpublished and not submitted to any other competition, promotion or contest other than those at OffHollywoodMovie.com.

The Entry must not contain any commercial or corporate advertising (including but not limited to corporate logos, brand names, and slogans), recognizable branded products, artwork, political or religious statements.

Entrant agrees that his/her participation in the Contests and agreement to these official rules and Sponsor's or its agents' display or use of the Entry will not violate any agreement to which Entrant or any other person appearing in or assisting with the production of the Entry is a signatory or party.

Entrant agrees to indemnify the Sponsor and its agents against any and all claims from any third party for any use or reuse of the Entry.

Entrant agrees to and must secure a written and signed release from all persons appearing in or assisting with the production of the Entry and any location appearing in the Entry prior to submitting the Entry to the Contests and to provide these releases to the Sponsor upon request.

By submitting an Entry to the Contests, the Entrant represents and warrants that he/she has obtained all the rights, licenses and permissions from each person appearing in or participating in the creation of the Entry and from the locations appearing in the Entry.

Sponsor is under no obligation to display, perform, reproduce or distribute any Entry, and expressly reserves the right at its sole discretion and without notice to disqualify and/or remove from the Website any Entry that at the Sponsor's sole discretion is duplicative, refers to, depicts, or in any way negatively reflects upon the Sponsor, the Contests, or any other person or entity, or does not comply with these requirements or the official rules of the Contests. Entries must be suitable for presentation in a public forum at the sole determination of the Sponsor.

REQUIREMENTS FOR VIDEO SUBMISSIONS

Videos must meet the following requirements:

The video must be submitted in flv, .wmv, .asf, .avi, .mov, .3gp, .mpg, .mpeg, or .mp4 format, 100MB limit.

REQUIREMENTS FOR AUDIO SUBMISSIONS

Audio tracks must be in MP3 format, no greater than 100MB.

REQUIREMENTS FOR PHOTO SUBMISSIONS

Photo submissions must be in JPEG, PNG, or GIF format (no progressive JPEGs or animated GIFs), 100 MB limit.

LICENSE

By entering the Contests, except where prohibited by law, the Entrant grants to the Sponsor and its agents the irrevocable, absolute right and permission to use, edit, modify, cut, rearrange, add to, delete from, copy, reproduce, translate, separate, dub, adapt, publish, combine with other material, reuse and exploit the contents of and elements of the Entry in any and all media including but not limited to digital and electronic media, computer, audio and audiovisual media (whether now existing or hereafter devised), in any language throughout the world and in any manner for trade, advertising, promotional, commercial, or any other purposes in perpetuity without further review, notice, approval, consideration or compensation. Entrant agrees that the Sponsor or its agents may, but are not required to, attribute a Entry to the Entrant. Entrant waives and releases the Sponsor and its agents from any and all claims that Entrant may have now or hereafter in any jurisdiction based on "moral rights" with respect to the use or exploitation of Entries. Entrant agrees not to instigate, support, maintain or authorize any action, claim or lawsuit against the Sponsor or its agents in connection with the Contests on the grounds that the use of any Entry or any derivative works infringes or violates any rights of the Entrant.

ENTRANT UNDERSTANDS, ACKNOWLEDGES AND AGREES THAT SPONSOR IS NOT REQUIRED TO USE ANY ENTRY, VIDEO, AUDIO OR PHOTO IN WHOLE OR IN PART , NOR IS SPONSOR REQUIRED TO INCLUDE ANY ENTRY IN ANY SPONSOR-RELATED PRODUCTION, WEBSITE OR COMMERCIAL.

ELIGIBILITY

The Contests are open to legal residents of the United States 18 years or older. Entry is permitted in multiple Contests if each Entry meets the specific requirements of that Contest.

To be an eligible Entry each submission must be accompanied by a completed official entry form identifying the individual Entrant.

Officers, directors, investors and employees of Off Hollywood, LLC and/or any affiliated entities are not permitted to enter the Contests.

Any Entrant who is represented under contract (for example by a manager or talent agent), who is a member of a guild or union (including, but not limited to, SAG or AFTRA), or is a party to any contract that would at the Sponsor's sole discretion limit or impair the Sponsor's ability to use or reuse the Entry in whole or in part without royalty or payment to any party is not permitted to enter the Contests.

WINNING

A visitor to the Website may register to become a user ("User") in order to rate an Entry by giving it a rating of one to five stars (five being the highest). A User is identified by a unique email address, and may rate each Entry only once. At the close of the rating period for the Contest, the overall rating of each Entry will be calculated as the average of the Entry's total star score divided by the number of ratings for that Entry. An Entry must receive a minimum of 100 ratings to be eligible to win its Contest.

FOR EXAMPLE — An Entry is rated by two hundred Users. It receives a rating of 4 stars from 100 Users, and a rating of 3 stars from 100 Users, resulting in an overall rating of 3.5. (100 ratings of 4 stars >400< plus 100 ratings of 3 stars >300< for a total of 700 divided by the number of ratings >200<, or 3.5).

The Entry receiving the highest overall rating in each Contest will be named the winner of that Contest. In the event of a tie score between/among two or more Entries, the Entry which was rated by the greatest number of Users will be named the winner. In the event that tied Entries were rated by an equal number of Users, then the Entry which was viewed the greatest number of times will be considered the winner.

Entrant must be physically able to meet the requirements of his/her participation in the movie's production. Sponsor reserves the right to verify that the winning Entry and Entrant meet all the requirements of the Contests prior to being selected as a winner.

GENERAL CONDITIONS

The Contests are subject to these official rules and regulations as well as all federal, state and local laws.

By entering the Contests Entrant agrees to follow and be bound by these official rules and regulations and by the decisions of the Sponsor, which are final and binding in all matters related to the Contests.

Entrant understands, acknowledges and agrees that Sponsor is not liable for any interruption in transmission to or from the Website, or any bug, virus, worm or other malicious code or damage that may be transmitted to or through the Website by any third party. In no event will Sponsor be responsible or liable for any damages or losses of any kind including direct, indirect, incidental, consequential or punitive damages arising out of Entrant's participation in the Contests and/or use of the Website.

Sponsor reserves the right at its sole discretion to cancel, modify or suspend the Contests for any reason, including but not limited to the Contests not running as planned for any reason, suspected or actual evidence of electronic or non-electronic tampering with any portion of the Contests, or if technical difficulties compromise the integrity of the Contests.

Sponsor may at its sole discretion void any suspect entry or vote that violates these official rules.

Sponsor's failure to enforce any term of these official rules shall not constitute a waiver of that or any other provision. If there is a discrepancy or inconsistency between disclosures or other statements contained in any Contest materials and the terms and conditions of these official rules, these rules will prevail and govern.

Any person who supplies false information, submits an Entry by fraudulent means, or is otherwise determined to be in violation of these official rules in an attempt to obtain a prize in the Contests will forfeit any prize and may be prosecuted to the full extent of the law.

Except where prohibited, as a condition of entry into the Contests Entrant agrees that any and all disputes, claims and causes of action arising out of or connected to the Contests shall be resolved individually through a binding arbitration process without resort to any form of class action. Any disputes will be governed by the laws of the state of California.

ENTRANT AND/OR USER AGREES TO IDEMNIFY AND HOLD HARMLESS OFF HOLLYWOOD, LLC AND ALL RELATED ENTITIES FROM AND AGAINST ALL CLAIMS, DAMAGES, LIABILITIES AND EXPENSES (INCLUDING, BUT NOT LIMITED TO, ATTORNEY'S FEES) ARISING FROM ANY USE OF OR ACCESS TO THE WEBSITE OR THE CONTESTS.

ENTRANT AND/OR USER AFFIRMS THAT HE/SHE IS ABLE TO UNDERSTAND, ACKNOWLEDGE AND AGREE TO THESE RULES AND REGULATIONS AND IS 18 YEARS OF AGE OR OLDER.

ENTRANT UNDERSTANDS, ACKNOWLEDGES AND AGREES THAT THESE OFFICIAL RULES MAY BE MODIFIED OR REVISED BY THE SPONSOR AS IT DEEMS NECESSARY.
